Cooperation agreement between the foundation and CULTONx AS
Starting a project like CULTON involves investing a lot of time and energy over a long period for the maturation of various aspects; from scientific background knowledge, concept, structure and programming to organisation and formalities, networks and partners, finance and financing, as well as description and website.
Bi-O has decided to give this project to the world, because it is the right thing to do.
However we also create an exchange service, called CULTONx(change), which is going to provide a way for its users to keep track of their material, including their propagation material (seeds, cuttings, chicken eggs, fungal mycelium etc), and a way to exchange this propagation material with other users of the system, within one jurisdiction (due to all the rules and conciderations regarding crossing borders). This service will be run commercially. Otherwise it will never be possible to build nor run, and this will also largely pay for the work in the non-profit CULTON.
In order to ensure that the foundation has the necessary operating funds, it is included in the agreement that 1% of the revenue within CULTONx will go towards financing CULTON.
The agreement below is necessary to ensure CULTON that the necessary technical expertise is in place, even if there should be periods, such as now in the start-up, where there are no financial resources to pay for this. The agreement, on the other hand, ensures CULTONx a way to compensate for this burden, in that the company has the exclusive right for 10 to operate its commercial exchange platform based on the CULTON database.
